SportPesa Secures Major Legal Victory in UK High Court

SportPesa has achieved a significant legal victory in the United Kingdom after the High Court of Justice dismissed claims brought by former director Paul Wanderi Ndung’u. Delivered by Mr Justice Edwin Johnson on 18 November 2025, the ruling found no evidence of fraud, forgery, or any improper corporate conduct relating to SportPesa’s shareholding structure.
The case, Ndung’u v SPG Limited – CR‑2022‑000135, involved allegations that SportPesa had unlawfully diluted Ndung’u’s shares. Following a thorough review of the evidence, the court dismissed all claims, confirming that the company’s actions were lawful and conducted in accordance with proper corporate governance procedures.
“We are delighted with this decision,” said SportPesa’s directors. “The UK High Court found that the allegations against us had no substance. We have always acted legally and properly, and this judgment affirms that. We now look forward to focusing on our future growth and expansion.”

The dispute arose after Ndung’u, a former shareholder, claimed that the company had unlawfully reduced his stake through fraud, forgery, and improper corporate actions. He challenged decisions relating to share allotments and corporate restructuring, as well as the transfer of the SportPesa trademark from Kenyan entity Pevans East Africa Limited to UK-based SPGHL, and subsequently to Milestone Games Limited, alleging these were carried out without his consent. These events occurred amid regulatory and financial challenges, including the revocation of Pevans’ operating license in Kenya, which prompted corporate restructuring to stabilize the business.
After carefully examining the evidence, the High Court found no proof of wrongdoing. The judgment confirmed that the share dilution and related corporate decisions were lawful, properly executed, and necessary for the company’s financial stability. SportPesa’s directors welcomed the ruling as a vindication of the company’s integrity, emphasizing that it allows management to focus fully on growth, expansion, and operational development without the uncertainty of ongoing litigation.
