Program Terms and Conditions

Welcome to the Join The Crypto Experience Program (“Program”). The Program is operated by Mbet Solutions N.V. (“Company”) and its brand partner Sportsbet.io (“Platform”). By applying to become an Ambassador, you agree to the Terms and Conditions set forth herein (“Agreement”).

1. Eligibility

1. As a participant for the Program, you may have the opportunity to represent the Platform (“Ambassador”), depending on your preferences and qualifications. Please note that your selection may be subject to approval by the relevant Platform. By applying to become an Ambassador, you acknowledge and agree that your role may be limited to representing the Platform, however, depending on the terms of your Agreement this may vary.
2. To participate in the Ambassador Program, interested individuals must meet the following criteria:

1. Age: You must be at least 18 years old to apply for the program. However, depending on the laws and regulations of your country, the minimum age requirement may be higher. In such cases, we will comply with the local laws and regulations and adjust the minimum age requirement accordingly.
2. Social Media Following: You must have a minimum of 5,000 social media followers across your social media channels (such as Instagram, Twitter, Facebook, TikTok, etc.). This minimum follower count is flexible and may be subject to change based on our evaluation of your overall influence.
3. Active Accounts: You must have an active account on the Platform, which is an online gaming  platform. If you have been banned, self-excluded, or are not allowed to use any of these platforms as per their respective Terms and Conditions, you will not be able to participate in the Ambassador Program. If you do not have an active account, you must create one before applying to the program and ensure that you comply with the Terms and Conditions of the platforms at all times. 
4. Categories: You must fall within the crypto, gaming, or lifestyle categories. This means that your content, interests, and audience should align with at least one of these categories.
5. Well-established network: You must have access to High Net Worth Individuals (HNWIs) who possess the potential to significantly benefit the Company. This entails having a well-established network of contacts within at least one of the following sectors: finance, technology, or entrepreneurship. Your connections should have a demonstrable track record of success and influence, which can be leveraged to foster strategic partnerships and drive growth for the Company.

1. We reserve the right to evaluate your application and social media profiles to ensure that you meet the eligibility criteria, including having an active account on the Platform , falling within the crypto, gaming, or lifestyle categories Please note that meeting the minimum requirements does not guarantee acceptance into the program.
2. Before entering the program, please also note that we reserve the right to review your platform accounts on the Platform to ensure that you have not engaged in any suspicious activity or violated any of their Terms and Conditions. If we find any such activity, we reserve the right to close your platform accounts and terminate your participation in the Ambassador Program immediately, without any liability to you.
3. We may terminate your participation in the Program at any time if we find that you no longer meet the eligibility requirements or have violated any of the Program’s Terms and Conditions or the Platforms Terms and Conditions. Therefore, it is important that you comply with the Terms and Conditions of the platforms and conduct yourself in a manner that reflects positively on the Ambassador Program and its affiliated brands. 2. Ambassador Responsibilities

1. As an Ambassador, you will play a critical role in promoting the Company’s brand partners and generating revenue for the Company through your promotional efforts. You will use your social media platforms to promote the brands and may be required to participate in other promotional activities as requested by the Company.
2. You agree to use your best efforts to promote the brands and comply with all applicable laws and regulations related to your promotional activities. You are responsible for ensuring that all content posted on your social media platforms, including any endorsements or advertisements, comply with applicable laws and regulations, as well as the Company’s and its affiliated brands’ policies and guidelines. You agree to comply with any applicable laws and regulations that may affect you as an individual which include but are not limited to tax obligations or special advertisements regimes.
3. In summary, as an Ambassador, you are expected to:

1. Promote the Company’s brand partners and generate revenue for the Company through your promotional efforts
2. Use your social media platforms to promote the brands and participate in other promotional activities as requested by the Company
3. Conduct yourself in a professional and ethical manner at all times
4. Comply with all applicable laws and regulations related to your promotional activities
5. Ensure that all content posted on your social media platforms, including any endorsements or advertisements, comply with applicable laws and regulations, as well as the Company’s and its affiliated brands’ policies and guidelines
6. By participating in the Ambassador Program, you acknowledge and agree to these responsibilities, and understand that failure to comply with them may result in immediate termination of your participation in the program.

3. Benefits

1. As an Ambassador, you may be eligible to receive benefits from the Company, subject to the terms and conditions of the Program. Benefits may include, but are not limited to:

1. Personalized landing pages featuring your image or logo;
2. Certification tags or NFTs for influencers who sign up for the program;
3. Exclusive vacations and VIP access to yachts through brand Ambassadors;
4. Early access to brand offers and developments;
5. Recognition on the Company’s website as a brand Ambassador, including being listed on a landing page alongside other Ambassadors.
6. Please note that benefits are subject to change and availability, and the Company reserves the right to modify or discontinue any benefit at any time. Participation in the Program does not guarantee that you will receive any benefits, and benefits are awarded at the Company’s sole discretion.

4. Revenue Share

1. The revenue share standard is 35%, however, the Company reserves the right to offer lower percentages under special circumstances. Payment will be made to you by the 8th working day of the following month.

5. Technical Requirements

1. In addition to the informational web page and editable landing pages provided by the Company, you will be required to have access to certain technical tools to effectively promote the brands. This includes having a stable and reliable internet connection, a functioning computer or mobile device, and access to common social media platforms such as Facebook, Twitter, and Instagram.
2. You will also be required to have basic technical knowledge and skills to navigate and operate the provided tools and platforms. In the event that you experience technical issues or difficulties, you are expected to seek assistance from the Company’s support team.

6. Intellectual Property

1. The Company grants the Ambassador a limited, non-exclusive, non-transferable, revocable license to use the Company’s intellectual property solely for the purpose of promoting the Company’s brand partners and participating in the Program. This license is subject to compliance with the Terms and Conditions of the Program and any other guidelines or policies provided by the Company.
2. Any unauthorized use of the Company’s intellectual property is strictly prohibited and may result in termination of participation in the Program, as well as economic liability for damages up to a maximum of 100,000 EUR. The Ambassador acknowledges that the Company retains all ownership rights in its intellectual property, including but not limited to trademarks, logos, and trade names.
3. The Ambassador agrees to use the Company’s intellectual property only as explicitly authorized by the Company and to take all necessary steps to ensure that the intellectual property is not used in any way that could harm the Company’s reputation or goodwill. 7. Termination

1. In the event of termination, you agree to immediately cease using any trademarks, logos, or other intellectual property belonging to the Company. Additionally, you agree to return any materials or equipment provided to you by the Company in connection with the Program.
2. Upon termination, any benefits or compensation owed to you by the Company will be paid out in accordance with the terms of the Program. Any outstanding obligations or liabilities incurred prior to termination will remain in effect after the termination of this Agreement.
3. You acknowledge that the termination of this Agreement may result in the loss of certain benefits or opportunities associated with the Program. The Company shall not be liable for any such loss, and you agree to hold the Company harmless from any claims or damages arising from such loss.
4. Notwithstanding the foregoing, if the termination is due to your breach of any of the Terms and Conditions of this Agreement, the Company reserves the right to seek damages or other remedies available under applicable law. You agree to indemnify and hold the Company harmless from any claims or damages arising from your breach of this Agreement.
5. The Company reserves the right to terminate this Agreement, even if you have not breached any of the Terms and Conditions, by providing you with written notice of termination at least fifteen (15) days in advance. In such a case, the Company reserves the right to provide you with a reason for the termination.
6. The Partner may terminate this Agreement at any time by providing the Company with written notice of termination at least thirty (30) days prior to the next billing date. Upon receipt of such notice, the Company will provide the Partner with further instructions regarding the termination process. The Partner acknowledges and agrees that the Company may continue to use the Partner’s name, image, and likeness for a reasonable period of time after the effective date of termination for the purpose of fulfilling any ongoing contractual obligations or for compliance with applicable laws and regulations. 8. Confidentiality

1. During the term of this Agreement and thereafter, you shall maintain the confidentiality of any confidential information disclosed to you by the Company, including but not limited to trade secrets, customer lists, pricing information, business plans, and any other proprietary or confidential information (“Confidential Information”). You shall not use or disclose any Confidential Information for any purpose other than to perform your obligations under this Agreement, without the prior written consent of the Company.
2. You shall take all reasonable measures to protect the Confidential Information, including but not limited to safeguarding it against loss, theft, or unauthorized access or use. You shall immediately notify the Company in writing of any unauthorized disclosure, use or access to any Confidential Information.
3. Upon the termination or expiration of this Agreement, or at any time upon the Company’s request, you shall promptly return all Confidential Information, whether in written, electronic, or other tangible form, to the Company or destroy it, as directed by the Company.
4. This confidentiality obligation shall survive the termination or expiration of this Agreement for a period of five (5) years. Any breach of this confidentiality clause may result in irreparable harm to the Company, and the Company shall be entitled to seek injunctive relief, in addition to any other legal or equitable remedies available to it, and you shall be liable for any damages suffered by the Company as a result of such breach, including but not limited to economic damages, loss of profits, and reasonable attorneys’ fees, up to a maximum of 100,000 EUR.

9. Indemnification

1. You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to any third-party claim, suit, action, or proceeding arising from or in connection with your participation in the Program, including but not limited to any claims of intellectual property infringement, violation of any law or regulation, or breach of any obligation under this Agreement.
2. This indemnification obligation shall survive the termination or expiration of this Agreement. The Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with the Company’s defense of such claim. You shall not settle any claim without the prior written consent of the Company, which shall not be unreasonably withheld.
3. You further agree to indemnify and hold the Company harmless from any and all claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from any breach of this Agreement, including but not limited to your breach of the confidentiality or non-disparagement provisions set forth in this Agreement. 10. Governing law

1. This Agreement shall be governed by and construed in accordance with the laws of Curaçao, without giving effect to any principles of conflicts of law. 11. Entire agreement

1. This Agreement contains the entire understanding between the parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter. This Agreement may not be modified or amended except in writing signed by both parties.
